These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and IntelliVest AI ("Company," "we," "us," or "our"), concerning your access to and use of our website, Intellivestai.io, and any related services, including the ARBITER, SENTINEL, GENESIS, (collectively the “Tools” or "Service").

1.2. Acceptance. By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

THIS SECTION IS OF CRITICAL IMPORTANCE. YOUR USE OF THE SERVICE IS CONDITIONED UPON YOUR EXPLICIT UNDERSTANDING AND AGREEMENT WITH THE FOLLOWING. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

A. FOR INFORMATIONAL PURPOSES ONLY

THE SERVICE, INCLUDING ALL CONTENT, DATA, AND ANALYSIS GENERATED BY OUR ARTIFICIAL INTELLIGENCE, IS PROVIDED "AS IS" AND "AS AVAILABLE" FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.  

B. NOT INVESTMENT ADVICE

INTELLIVEST AI IS A TECHNOLOGY PROVIDER, NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL PLANNER. THE CONTENT PROVIDED THROUGH THE SERVICE IS NOT AND SHOULD NOT BE CONSTRUED AS INVESTMENT ADVICE, A RECOMMENDATION, OR A SOLICITATION TO BUY, SELL, OR HOLD ANY SECURITY OR INVESTMENT PRODUCT.  

C. NO GUARANTEE OF ACCURACY OR PERFORMANCE

WE DO NOT WARRANT THE COMPLETENESS, TIMELINESS, OR ACCURACY OF ANY DATA, ANALYSIS, OR INFORMATION MADE AVAILABLE THROUGH THE SERVICE. YOU ACKNOWLEDGE THAT ARTIFICIAL INTELLIGENCE MODELS CAN HAVE ERRORS, BIASES, AND "HALLUCINATIONS"—THE GENERATION OF PLAUSIBLE BUT FACTUALLY INCORRECT OR FABRICATED INFORMATION. FINANCIAL DATA MAY BE SUBJECT TO DELAYS OR INACCURACIES. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

D. ASSUMPTION OF RISK

YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE MERITS AND RISKS ASSOCIATED WITH THE USE OF ANY INFORMATION FROM THE SERVICE BEFORE MAKING ANY INVESTMENT DECISIONS. ANY INVESTMENT DECISION YOU MAKE IS YOUR OWN, AND YOU BEAR FULL AND EXCLUSIVE RESPONSIBILITY FOR ITS CONSEQUENCES. YOU AGREE NOT TO HOLD INTELLIVEST AI OR ITS AFFILIATES LIABLE FOR ANY POSSIBLE CLAIM FOR DAMAGES ARISING FROM ANY DECISION YOU MAKE BASED ON INFORMATION MADE AVAILABLE TO YOU THROUGH THE SERVICE.

3. User Registration and Accounts

To access certain features of the Service, you may be required to register for an account. By creating an account, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.

  • You will maintain the security of your password and accept all risks of unauthorized access to your account.

  • You will promptly notify us if you discover or otherwise suspect any security breaches related to the Service.

  • You are at least 18 years of age or the age of legal majority in your jurisdiction.

4. Acceptable Use Policy

4.1. Prohibited Activities. You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law.

  • Engage in any fraudulent, deceptive, or misleading activity.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.

  • Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.

  • Transmit any virus, worm, or other malicious code.

  • Interfere with or disrupt the integrity or performance of the Service.

4.2. Excessive Use and Cost Cap. You acknowledge that the generative AI tools provided through the Service consume significant computational resources. We reserve the right to monitor your usage of the Service. If we determine, in our sole discretion, that the computational cost associated with your account's generations reaches or exceeds the subscription fees you have paid for your access, we reserve the right to immediately suspend your ability to use the tools further for the remainder of your billing cycle. Continued excessive usage that disproportionately burdens our systems may result in the permanent termination of your account without notice or liability.

5. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by IntelliVest AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only, subject to these Terms. This is a license for use, not a sale, and does not convey any rights of ownership.  

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTELLIVEST AI, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) ANY INVESTMENT DECISIONS OR FINANCIAL LOSSES MADE BASED ON INFORMATION OBTAINED THROUGH THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.  

7. Indemnification

You agree to defend, indemnify, and hold harmless IntelliVest AI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through your account settings.  

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

10. General Provisions

10.1. Changes to Terms. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, such as by posting the new Terms on this page and updating the "Last Updated" date. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.  

10.2. Severability. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.  

10.3. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and IntelliVest AI regarding the Service and supersede all prior and contemporaneous understandings or agreements.
