End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a binding legal contract between you, an individual or the single entity you represent ("User," "you," "your"), and IntelliVest AI ("Company," "we," "us," "our"). This Agreement governs your access to and use of the analytical software tools, platforms, and services, including but not limited to GENESIS, ARBITER, and SENTINEL, and any associated documentation, data, or output (collectively, the "Tools").

BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR BY ACCESSING, DOWNLOADING, INSTALLING, OR OTHERWISE USING THE TOOLS, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT IN ITS ENTIRETY; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE TOOLS AND DELETE ANY COPIES IN YOUR POSSESSION.  

1. License Grant

1.1. Scope of License. Subject to your strict and ongoing compliance with all terms and conditions of this Agreement, IntelliVest AI hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Tools during the Subscription Period solely for your personal, non-commercial research and informational purposes. This is a license for use, not a sale of the software.  

1.2. License, Not a Sale. You acknowledge that you are obtaining a limited license to use the Tools and that no ownership rights are being conveyed or assigned to you. IntelliVest AI retains all right, title, and interest in and to the Tools, including all copyrights, patents, trade secrets, and other intellectual property rights therein.  

2. Subscription, Billing, and Cancellation

2.1. Subscription Terms. Access to the Tools is provided on a subscription basis, available for the term you select at the time of purchase, typically monthly or annually ("Subscription Period"). YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION PERIOD FOR A SUCCESSIVE PERIOD OF THE SAME DURATION AT THE THEN-CURRENT PRICE, UNLESS YOU CANCEL IN ACCORDANCE WITH SECTION 2.4.  

2.2. Payment Authorization. You authorize us and our third-party payment processors to charge your chosen payment method (e.g., credit card) for the recurring subscription fees, plus any applicable taxes. You are responsible for providing complete and accurate billing and contact information and for notifying us of any changes to such information.

2.3. Price Changes. We reserve the right to change our subscription fees at our sole discretion. Any price changes will take effect at the start of the next Subscription Period following the date of the change. We will provide you with reasonable prior notice of any price change by sending an email to the address you have registered for your account, giving you the opportunity to cancel your subscription before the change becomes effective.  

2.4. Cancellation Policy. You may cancel your subscription at any time by providing written notification to our administrative contact at IntelliVestAIPortfolios@gmail.com. Cancellation is not automated. Upon receiving your cancellation request, an administrator will manually process it during standard business hours. Your access to the Tools will be revoked as soon as your cancellation is processed. To avoid being charged for the next Subscription Period, you must submit your cancellation request at least five (5) business days before your scheduled renewal date. If you signed up for the Tools online, you may also cancel online through your account portal.  

2.5. No Refunds. ALL FEES ARE NON-REFUNDABLE. You will not receive a refund or credit for any partial-month or partial-year subscription periods remaining at the time of cancellation. This policy is subject to mandatory provisions of applicable consumer protection law.  

3. IMPORTANT DISCLAIMERS & ACKNOWLEDGEMENTS

THIS SECTION IS CRITICAL AND FUNDAMENTAL TO THE AGREEMENT. YOUR USE OF THE TOOLS IS CONDITIONED UPON YOUR EXPLICIT UNDERSTANDING AND AGREEMENT WITH THE FOLLOWING:

A. NO FINANCIAL ADVICE

You expressly understand and agree that IntelliVest AI is a technology company, not a financial services company. We are not a registered investment advisor, broker-dealer, or fiduciary under U.S. federal or state securities laws. The Tools are software for informational and educational purposes only.  

  • Not a Recommendation: The data, analysis, reports, scores, and all other information (collectively, "Output") generated by the Tools do not constitute financial advice, investment advice, trading advice, or a recommendation or solicitation to buy, sell, or hold any security, financial product, or instrument.

  • You Are Responsible: You are solely and exclusively responsible for all of your own investment research and decisions. Any actions you take or decisions you make based on the Output from the Tools are taken entirely at your own risk. You should consult with a qualified and licensed financial professional before making any investment decisions.

  • AI Limitations and Risk of Hallucinations: The Tools are powered by artificial intelligence and machine learning models. You acknowledge that AI systems have inherent limitations and can produce errors, biases, or incomplete information. This includes the potential for "hallucinations," where the AI generates Output that is plausible-sounding but factually incorrect, fabricated, or misleading.  

  • You must independently verify any and all Output before making any financial decisions. Reliance on any Output is solely at your own risk.

B. NO WARRANTIES

THE TOOLS AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE TOOLS WILL BE ACCURATE, RELIABLE, COMPLETE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.  

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTELLIVEST AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY LOST PROFITS, LOST DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF, OR IN CONNECTION WITH, YOUR USE OR INABILITY TO USE THE TOOLS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  

OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR IN ANY WAY RELATED TO THIS AGREEMENT OR THE TOOLS, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US FOR YOUR SUBSCRIPTION IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.  

5. User Restrictions

5.1. Prohibited Activities. You agree not to, and will not permit others to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Tools.  

  • Resell, lease, sublicense, distribute, or otherwise transfer the Tools or any Output generated by them to any third party.

  • Use the Tools for any illegal purpose or in violation of any local, state, national, or international law.

  • Modify, translate, or create derivative works based on the Tools.

  • Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Tools or their Output.

  • Use the Tools to build a competitive product or service.

5.2. Excessive Use and Cost Cap. You acknowledge that the generative AI models used by the Tools consume significant computational resources. We reserve the right to monitor your usage of the Tools. If we determine, in our sole discretion, that the computational cost associated with your account's generation of Output reaches or exceeds the subscription fees you have paid for your access during the applicable Subscription Period, we reserve the right to immediately suspend your access to the Tools for the remainder of such period. Continued excessive usage that disproportionately burdens our systems may result in the permanent termination of this Agreement and your account without notice or liability.

6. Intellectual Property

All right, title, and interest in and to the Tools, including all associated intellectual property rights (including but not limited to copyrights, patents, trade secrets, and trademarks), are and will remain the exclusive property of IntelliVest AI and its licensors. This Agreement is not a sale and does not convey to you any rights of ownership in or related to the Tools or the intellectual property rights owned by IntelliVest AI.  

7. Termination

We may terminate or suspend your access to the Tools immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any of the terms of this Agreement. Upon termination, your right to use the Tools will cease immediately. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.  

8. General Provisions

8.1. Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you hereby consent to the exclusive jurisdiction and venue of such courts.  

8.2. Changes to Agreement. We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. We will provide you with notice of material changes, such as by sending an email to the address associated with your account or by posting a notice within the Tools. Your continued use of the Tools after such changes constitutes your acceptance of the new terms. It is your responsibility to review this Agreement periodically for changes.  

8.3. Entire Agreement. This Agreement constitutes the entire agreement between you and IntelliVest AI regarding the use of the Tools and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

8.4. Severability. If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

8.5. Waiver. No waiver by either party of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of a party to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.
